This disclaimer applies to the AdmansPraxis website, perspectives, market and investment commentary, presentations, proposals, downloadable material, meeting-booking services and other general communications published or supplied by AdmansPraxis Limited. A signed client agreement or engagement letter may contain additional or different terms and will take priority for the relevant engagement.

Intended professional audience

Our website and general materials are intended for professional and institutional audiences. They are not directed at retail investors or individual consumers seeking advice about their own investments.

Retail investors should not use or rely on AdmansPraxis material when making an investment decision. Anyone requiring advice that takes account of personal circumstances should consult an appropriately authorised financial adviser.

Consultancy support—not delegated responsibility

AdmansPraxis provides independent analysis, challenge and support to assist a client’s own professional decision-making and governance processes. Unless a written engagement expressly states otherwise:

  • AdmansPraxis does not make investment decisions or execute transactions for a client;

  • AdmansPraxis does not assume a client’s regulatory, fiduciary, trustee, product-governance, suitability, approval or oversight responsibilities;

  • participation in a meeting or committee does not transfer decision-making authority to AdmansPraxis;

  • clients remain responsible for their own due diligence, approvals, portfolio decisions, client communications and outcomes; and

  • regulated advice, suitability assessments and personal recommendations must be provided by an appropriately authorised person or firm.

The precise scope of any consultancy engagement, including any formal committee role, decision rights and responsibilities, must be set out in the relevant written agreement.

No personal recommendation or offer

Unless expressly stated in a communication that has been prepared and distributed on an appropriate lawful basis, AdmansPraxis material is supplied for professional information, research, governance discussion and due-diligence support. It is not intended to constitute:

  • personal financial advice or a personal recommendation;

  • an offer, invitation or solicitation to buy, sell, subscribe for, redeem, switch, hold or otherwise transact in an investment;

  • discretionary investment management, dealing or arranging activity;

  • a client-specific suitability assessment or instruction to act; or

  • tax, legal, accounting or regulatory advice.

Descriptions of funds, strategies, asset classes, managers or portfolio roles should be considered in their full professional context. The inclusion or discussion of a particular investment does not by itself mean that it is suitable for any investor, mandate, portfolio or client.

Research, due diligence and professional judgement

AdmansPraxis outputs reflect professional judgement based on the scope of work, information available and circumstances at the relevant time. Due diligence is selective and proportionate; it is not an audit, assurance engagement, legal review or guarantee that every material issue has been identified.

Unless expressly agreed, AdmansPraxis is entitled to rely on information supplied by clients, asset managers, administrators, data providers and other sources without independently verifying every statement or data point. Opinions and conclusions may change as evidence, people, portfolios, organisations, regulation or market conditions change.

Clients should check material facts against current primary documents and obtain specialist advice where necessary before making or approving a decision.

Portfolio and governance considerations

Any discussion of portfolio construction, manager selection, diversification, risk, governance or implementation is contextual. A strategy that may perform a useful role in one mandate may be inappropriate in another. Relevant factors may include objectives, liabilities, time horizon, liquidity needs, risk capacity, tax, legal restrictions, operational requirements, charges, client profile and existing exposures.

AdmansPraxis cannot guarantee that a governance process, manager selection or portfolio decision will produce a particular outcome, avoid loss or satisfy every legal or regulatory obligation.

Investment risk

The value of investments and income from them may fall as well as rise. Capital is at risk, and investors may receive less than the amount invested. Past performance is not a reliable indicator of future results.

Investment outcomes may be affected by market movements, liquidity, valuation uncertainty, currency changes, inflation, interest rates, credit events, leverage, derivatives, concentration, political or regulatory developments, operational failures and other factors. Different funds, strategies and structures have materially different objectives, risks, costs, liquidity arrangements and protections.

Forecasts, scenarios, target returns and forward-looking statements are uncertain and are not guarantees.

Accuracy, completeness and timeliness

We take reasonable care in preparing general material, but do not warrant that website content, commentary, data, estimates, opinions or third-party information is complete, error-free, current or suitable for a particular purpose. Website content may not be updated immediately when circumstances change.

Performance figures, holdings, yields, charges, classifications and other data should be checked against current primary sources before being used in an investment or governance process.

Conflicts of interest

AdmansPraxis seeks to provide independent, conflict-aware input. Actual or potential conflicts relevant to a consultancy engagement should be identified and managed in accordance with the engagement terms and applicable policies. Independence does not mean that no commercial relationships exist; material relationships relevant to the work should be disclosed where appropriate.

Tax, legal, accounting and regulatory matters

AdmansPraxis does not provide tax, legal, accounting or regulatory advice. Laws, regulation and tax treatment can change and may apply differently according to the circumstances. Clients should obtain suitably qualified advice where these matters affect a decision or communication.

Third-party information and links

Our material may refer or link to third-party publications, fund documents, data providers, asset managers, platforms or websites. These are provided for context or convenience. AdmansPraxis does not control third-party services and is not responsible for their availability, security, privacy practices, accuracy or later alteration. A reference or link does not necessarily constitute endorsement.

Liability

Liability relating to a contracted consultancy engagement is governed by the relevant written agreement. For website content and general material supplied outside a contracted engagement, AdmansPraxis excludes warranties and liability to the fullest extent permitted by law for loss arising from use of, or reliance on, that material.

Nothing in this disclaimer excludes or limits liability where doing so would be unlawful, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

Changes to this disclaimer

We may update this disclaimer when our services, legal position or business arrangements change. The current version will be published on our website with its effective date.
